Rules

Article I - Meetings

Section I
a) Meetings will be held on the second and fourth Thursdays for each month with the exception
of holidays.
b) All meetings will begin promptly at 7:30 am and will last approximately one and one-half hour.
c) Officers will meet separately on an as needed basis but in no event no less than once a quarter.
d) Members will be limited to no more than 30.

Article II - Membership duties

Section I
a) Members will be required, at least once a year, to give a ten minute presentation concerning their
business at a regularly scheduled meeting.
b) Representatives may replace current members for a total of three (3) meetings per year and this
will not be counted as an absence.
c) Members shall give out a minimum of two (2) leads per quarter.

Article III - Termination for Membership

Section I
The grounds for dismissal, with final determination being made by the Governing Committee, will be
as follows:
a) Absence of three (3) consecutive meetings
b) Nonpayment of dues by first meeting of following month after dues are due (with written notice
of same)
c) Missing five (5)total meetings per year

Article IV - Amendment

Section I
This document may be amended at any regular meeting of the Exchange by a majority vote of the
members present (prior notice of this presentation shall be given to the members)

Article V - Officers' Duties

The officers of this organization shall consist of four (4) people, as follows:

  • chairman
  • membership chairman
  • program chairman/secretary
  • treasurer

Section I
The chairman shall:
a) Preside at all meetings of this organization and the Governing Committee
b) Appoint special committees when necessary
c) Act as liaison between this organization and the Chamber
d)Have the tie breaker vote in the event of a tie
e)Perform other duties as may be assigned by the organization
f) Coordinate the work of the officers and committees
g) Obtain a line item accounting and compilation for the income and expenditures of the Exchange
from the Executive Director on a quarterly basis.

Section II
The program chairman/secretary shall:
a)Provide the Chamber with the minutes and attendance of each meeting
b) Schedule the ten (10) minute presentations for each meeting
c) Be the keeper for the records and prepare all organizational documents
d) Contact the meeting place to verify accommodations
e) Handle anything the chairman delegates
f) Perform duties of the office of chairman in his or her absence at the regular meetings

Section III
The membership chairman shall:
a)Keep the lead box and business card file
b) Keep track of the leads for the organization
c)Maintain the membership list and keep records of applications on file
d) Be the contact person for all prospective members and coordinate visits to the meetings
e)Create and distribute visitor packets to prospective members and membership packets to all
new members
f)Handle promotional items for distribution
g) Perform such other duties as may be delegated
h) Receive monies for the organization in the absence of the treasurer

Section IV
The treasurer shall:
a)Receive all monies of the organization and deposit them in a timely manner with the Chamber for
use exclusively by the Exchange
b)Keep an accurate record of receipts and expenditures
c)Submit a statement to chairman on a quarterly basis with beginning and ending balances
d) Expend only monies for those items approved by the Governing Committee
e) Approve all expenditures prior to payment by the Chamber

Section V
a)With prior notice, a vacancy occuri9ng in any office shall be filled for the un expired term by a
person elected by a majority vote of the remaining members.
b)In any event, no person shall serve more than two (2) consecutive elected terms in the same office.

Article VI - Administrative Fee

The Exchange shall be credited for 50% of the group's financial participation in the Golf Outing hole
sponsorship. Expo booth sponsorship, Business After Hours sponsorship and other like activities up to a maximum of the total administrative fee per year.
